Legal support for your business in Germany

GmbH formation in Germany

The business model, shareholders, directors, articles of association and notarial and registration steps are prepared together.

Corporate law advice

Shareholder rights, directors’ authority, company decisions and changes in ownership are reviewed for the proposed structure.

Company and shareholder agreements

Voting rights, representation, share transfers and exit provisions are drafted around the business arrangements.

Commercial contracts

Sales, service and distribution agreements are reviewed for payment, liability, applicable law and jurisdiction.

German branches of Turkish companies

Branch and subsidiary options are assessed for their legal consequences. Tax issues are addressed separately with a tax adviser.

Formation structures and Turkish corporate documents

Legal support for Turkish companies entering Germany: GmbH formation, German branches, shareholder matters and cross-border commercial contracts.

A Turkish company entering Germany will usually need to decide whether its German presence should operate through a separate German company or as a branch of the Turkish head office. The two structures are legally different.

German subsidiary

A German subsidiary is a separate legal entity. A Turkish company can, in principle, become a shareholder of a German GmbH.

GmbH formation

Typical issues include shareholder structure, managing director, representation, articles of association, registered office, share capital, notarial process, commercial register and corporate documents from Turkey. The statutory minimum share capital is EUR 25,000.

German branch

A branch is not a separate legal person from the foreign head office. A sufficiently independent German branch may require registration in the Commercial Register and local business registration.

GmbH or branch?

There is no structure that is automatically better. Liability, operations, contracts, management, tax planning and long-term market strategy should be considered together.

Turkish directors and employees

Corporate establishment and immigration status are separate legal questions. Appointment as managing director does not by itself create a right to work or reside in Germany.
